Ralcorp-Post Cereal Deal Carries $60M Termination Fee (DJ)

Nov. 20 - Ralcorp Holdings Inc. said Tuesday that its deal to acquire Post cereals from Kraft Foods Inc. carries a $60 million termination fee.

The St. Louis producer of store-brand foods said in a filing with the Securities and Exchange Commission that it would have to pay Kraft the fee if their merger agreement is terminated under certain circumstances.

Ralcorp also said it might have to reimburse up to $15 million in expenses to Kraft if the deal falls through.

The two companies announced last week that Ralcorp would acquire Kraft's Post cereals business in a transaction valued around $2.6 billion including assumption and issuance of debt.
