Pursuant to CVM Instruction 358 of January 3, 2002, LAEP Investments Ltd. and Parmalat Brasil S/A Indústria de Alimentos - Under Judicial Reorganization hereby inform investors and other capital market players that Lácteos do Brasil S.A. (“Offerer”), a subsidiary of LAEP and the direct controlling shareholder of Parmalat, which retains approximately 99.77% of its capital, as approved by the Extraordinary Shareholders’ Meeting of April 28, 2009 and pursuant to CVM Instruction 361 of March 5, 2002, as amended (“CVM Instruction 361”), plans to file with the Securities and Exchange Commission of Brazil (“CVM”) on April 30, 2009, a registration request for holding a public tender offer for the cancellation of Parmalat’s registration as a publicly-held company, in order to acquire all the outstanding common and preferred shares issued by Parmalat (“PTO”) through a special procedure, which involves requesting the waiver of certain requirements of CVM Instruction 361, especially: (i) inversion of the quorum to ascertain the success of the PTO for the dissent of one third (1/3) of the outstanding shares; (ii) drafting and publication of a notice for holding the PTO and authorization for the publication of a Notice to Shareholders; (iii) holding of an auction on the stock exchange and the exemption from hiring a brokerage institution by the Offerer.
LAEP and Parmalat announce that the amount to be paid under the PTO will be R$0.021 per share (envisaged in the valuation report prepared for this purpose and considered as fair price). The request of the PTO is subject to CVM’s approval after analyzing said request within the legal time frame. Other terms and conditions of the PTO, the CVM’s decisions after its analysis, and the registration with the CVM will be announced to the market at an opportune time.
